1. Agreement to Terms

By creating an account on, accessing, or using the Sledge platform (the "Platform"), operated by Sledge Experiences Pte. Ltd. (UEN: 202508901Z) ("Sledge," "we," "us," or "our"), you ("you" or "User") agree to be bound by these Terms of Use ("Terms"). If you do not accept these Terms, you may not use the Platform.

These Terms apply to the Sledge mobile application, the website at sledgeapp.com, and all related services. By using the Platform, you also acknowledge that you have read and understood our Privacy Policy.


2. Definitions

For the purposes of these Terms:

  • Platform - The Sledge mobile application, website, and all associated services.
  • Host - A User who creates and organises a Session on the Platform.
  • Participant - A User who books and attends a Session on the Platform.
  • Session - An in-person experience listed on the Platform by a Host.
  • Public Session - A Session visible and bookable by any User on the Platform. Public Sessions are subject to Platform Fees.
  • Private Session - A Session shared only via invite link, used for cost-sharing among a known group. Private Sessions do not incur Platform Fees.
  • Platform Fee - The percentage-based service fee charged by Sledge on Public Sessions, determined by the Host's current Rank (see Section 8).
  • Rank - A Host's tier within Sledge's gamification system, calculated on a rolling 90-day basis from activity points.
  • Season - A quarterly period during which Ranks are assessed and Seasonal Rewards are calculated.
  • Seasonal Rewards Pool - The portion of public session revenue redistributed to eligible Hosts each Season (see Section 9).
  • Merchant of Record (MoR) - Sledge acts as the Merchant of Record for all transactions on the Platform, meaning Sledge collects payments from Participants and manages payouts to Hosts.

3. Eligibility and Accounts

3.1 Minimum Age

You must be at least 18 years of age, or the age of legal majority in your jurisdiction (whichever is higher), to create an account and use the Platform.

3.2 Account Creation

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at contact@sledgeapp.com if you become aware of any unauthorised use of your account.

3.4 Account Suspension and Termination

We reserve the right to suspend or terminate your account at our discretion if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or otherwise acted in a manner harmful to the Platform or its Users. Where practicable, we will provide notice and an opportunity to address the issue before termination.


4. The Platform

4.1 Sledge as Marketplace

Sledge is an in-person experiences marketplace that connects Hosts who organise Sessions with Participants who book and attend them. Sledge facilitates discovery, booking, payment collection, and payout but does not itself provide the underlying experiences.

4.2 Merchant of Record

Sledge acts as the Merchant of Record for all transactions processed through the Platform. This means:

  • Sledge collects payment from Participants at the time of booking.
  • Sledge holds funds until the Session has occurred and payment is captured.
  • Sledge processes payouts to Hosts after settlement, minus the applicable Platform Fee.
  • Sledge bears primary responsibility for disputes and chargebacks with payment processors.

4.3 No Employment or Agency Relationship

Hosts are independent individuals, not employees, contractors, or agents of Sledge. Sledge does not supervise, direct, or control the content or delivery of Sessions. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Sledge and any User.


5. Hosting Sessions

5.1 Host Obligations

By listing a Session on the Platform, you as a Host agree to:

  • Provide accurate and complete information about the Session, including description, location, date, time, capacity, and pricing.
  • Deliver the Session as described in the listing.
  • Comply with all applicable laws and regulations, including those relating to permits, licences, insurance, and venue safety.
  • Treat all Participants with respect and maintain a safe environment.
  • Not engage in misleading, deceptive, or fraudulent conduct.

5.2 Session Quality

Sledge may use Participant reviews, ratings, and feedback to assess Session quality. Hosts who consistently receive poor ratings or complaints may have their listings removed or their accounts suspended.

5.3 Host Responsibility

Hosts are solely responsible for the safety and conduct of their Sessions, including compliance with local venue regulations, participant welfare, and any required insurance. Sledge does not inspect, endorse, or guarantee the quality or safety of any Session.


6. Booking and Participating

6.1 Participant Obligations

By booking a Session, you as a Participant agree to:

  • Attend the Session at the scheduled time and location.
  • Follow any reasonable instructions provided by the Host.
  • Treat the Host and other Participants with respect.
  • Not engage in disruptive, unsafe, or unlawful behaviour during a Session.

6.2 Booking Confirmation

A booking is confirmed when payment authorisation is successfully processed. Confirmed bookings are subject to the Cancellation and Refund terms in Section 10.


7. Payments

7.1 Payment Processing

All payments on the Platform are processed through our third-party payment processor, Stripe. By using the Platform, you agree to Stripe's terms of service in addition to these Terms.

7.2 Payment Flow

When a Participant books a Session:

  1. Authorisation: A payment hold (authorisation) is placed on the Participant's payment method at the time of booking.
  2. Capture: Payment is captured after the Session has taken place.
  3. Settlement: Funds settle into the Sledge platform account.
  4. Payout: Sledge transfers the Host's share (gross amount minus Platform Fee) to the Host's connected payout account.

7.3 Platform Fees

Sledge charges a Platform Fee on all Public Sessions. The fee is a percentage of the gross session revenue, determined by the Host's current Rank at the time of payment capture:

Sledge reserves the right to modify the fee structure with reasonable notice to Hosts. Changes to Platform Fees will not apply retroactively to Sessions already booked at the time of the change.

7.4 Private Sessions

Private Sessions are free to list and book. No Platform Fee is charged on Private Sessions. Private Sessions are intended for cost-sharing among known groups and do not count toward Seasonal Rewards eligibility.

7.5 Payout Timing

Host payouts are processed after payment capture and settlement. Sledge aims to process payouts within 3-7 business days of settlement, subject to payment processor timelines. Sledge reserves the right to delay payouts where there is a reasonable basis to believe fraud, a dispute, or a Terms violation has occurred.

7.6 Payout Withholding

Sledge may withhold, delay, or offset Host payouts in the following circumstances:

  • A chargeback or dispute has been filed by a Participant.
  • Reasonable suspicion of fraud, manipulation, or Terms violation.
  • Pending investigation into the Host's account or a specific Session.
  • Legal or regulatory requirement.

Where payouts are withheld, Sledge will make reasonable efforts to notify the Host and resolve the matter promptly.

7.7 Chargebacks and Disputes

Sledge absorbs the primary liability for chargebacks as Merchant of Record. However, if a chargeback results from Host misconduct (e.g., failure to deliver a Session as described, fraudulent listing), Sledge reserves the right to recover the chargeback amount from the Host's future payouts.

7.8 Currency

All transactions on the Platform are denominated in Singapore Dollars (SGD) unless otherwise indicated.

7.9 Taxes

Each User is responsible for determining and fulfilling their own tax obligations arising from their use of the Platform, including income tax, GST, or any other applicable taxes. Sledge does not provide tax advice.


8. Rank System and Gamification

8.1 Overview

Sledge operates a ranking system that rewards Users for hosting and attending Sessions. Ranks are calculated on a rolling 90-day window based on activity points earned through hosting, attending, and quality metrics.

8.2 Rank Tiers

Ranks progress through 10 tiers: Bronze (Red / Green / Yellow), Silver, Gold, Crystal, Sapphire, Ruby, Emerald, Platinum, Diamond, and Legendary. Each tier (except Bronze and Legendary) has three sub-tiers (I, II, III). Rank thresholds, point values, and multipliers are published on the Platform and may be updated from time to time.

8.3 Points and Multipliers

Points are earned through hosting and attending Sessions, with multipliers for quality (ratings, return participants), consistency (streaks), and diversity (multiple activity categories). Specific point values and multiplier rules are published on the Platform.

8.4 Seasonal Resets

At the end of each Season (quarterly), seasonal Ranks undergo a soft reset (reduction of 2-3 divisions). Career Rank, which reflects lifetime accumulated points, is never reset.

8.5 Anti-Gaming Measures

Sledge employs automated and manual safeguards to detect and prevent manipulation of the ranking system. Activity that triggers fraud detection thresholds (e.g., anomalous point accumulation patterns, repeated identical session formats) may result in account review, point adjustment, or suspension.

8.6 Modifications

Sledge reserves the right to modify the ranking system, including point values, multipliers, tier thresholds, and anti-gaming rules, at any time. Material changes will be communicated to Users with reasonable notice. Changes will not retroactively alter points already earned within the current Season.


9. Seasonal Rewards Pool

9.1 Overview

Each Season, Sledge allocates 2% of gross Public Session GMV to a community rewards pool ("Rewards Pool"), which is distributed to eligible Hosts at the end of the Season.

9.2 Eligibility

To be eligible for Rewards Pool payouts in a given Season, a Host must meet at least one of the following thresholds within a given activity category:

  • Hosted 3 or more Public Sessions in the category during the Season; or
  • Generated S$500 or more in Public Session GMV in the category during the Season.

Private Sessions do not count toward eligibility.

9.3 Payout Calculation

Rewards Pool payouts are calculated per activity category (e.g., Tennis, Cooking, Photography). Each category's pool is equal to 2% of that category's Public Session GMV for the Season. Payouts are weighted by two factors:

  • The Host's Public Session GMV within the category during the Season.
  • The Host's Rank multiplier (Bronze 1x through Legendary 10x).

Formula: Host Payout = Category Pool x (Host GMV x Host Rank Multiplier) / Total Weighted GMV for the Category.

9.4 Payout Distribution

Rewards Pool payouts are distributed after the close of each Season, typically within 30 days following the Season end date. Payouts are processed through Stripe to the Host's connected payout account.

9.5 No Guaranteed Minimum

Rewards Pool payouts are variable and depend on total platform GMV, the number of eligible Hosts, and rank distribution. Sledge does not guarantee any minimum payout amount.

9.6 Modifications and Discontinuation

Sledge reserves the right to modify the Rewards Pool structure, including the percentage allocated, eligibility thresholds, multiplier weights, and payout timing, or to discontinue the Rewards Pool entirely, with reasonable notice to Users. Changes will take effect at the start of the next Season.

9.7 Fraud and Disqualification

Hosts found to have manipulated the ranking system, artificially inflated GMV, or otherwise engaged in fraudulent activity to increase Rewards Pool payouts may be disqualified from the Rewards Pool and may have their accounts suspended or terminated.


10. Cancellation and Refunds

10.1 Cancellation Policies

Each Session has a cancellation policy selected by the Host and displayed at the time of booking. The available policies are:

  • Flexible: Full refund if cancelled more than 24 hours before Session start. 50% refund if cancelled 12-24 hours before. No refund within 12 hours.
  • Moderate: Full refund if cancelled more than 48 hours before Session start. 50% refund if cancelled 24-48 hours before. No refund within 24 hours.
  • Strict: Full refund if cancelled more than 7 days before Session start. 50% refund if cancelled 48 hours to 7 days before. No refund within 48 hours.

By booking a Session, you agree to the cancellation policy displayed at checkout. Refunds are processed to the original payment method and may take 5-10 business days to appear, depending on your payment provider.

10.2 Host Cancellations

If a Host cancels a Session:

  • All Participants receive a full refund.
  • The Host's account may be subject to review if cancellations are frequent.
  • Repeated cancellations may result in reduced visibility on the Platform or account suspension.

10.3 No-Show Policy

If a Host fails to show up for a scheduled Session, all Participants receive a full refund. If a Participant fails to attend a confirmed Session without cancelling, the standard cancellation policy applies (no refund within the final window).

10.4 Session Modifications

If a Host materially modifies a Session after bookings have been confirmed (e.g., significant change in time, location, or description), affected Participants may cancel for a full refund regardless of the cancellation window.

10.5 Disputes Between Users

If a Participant believes a Session was not delivered as described, they may submit a dispute through the Platform within 7 days of the Session date. Sledge will review disputes in good faith and may issue a partial or full refund at its discretion. Sledge's decision on disputes is final, subject to applicable law.


11. User-Generated Content

11.1 Content You Create

Users may submit content to the Platform, including but not limited to Session listings, descriptions, photographs, reviews, ratings, profile information, and messages ("User Content").

11.2 Licence Grant

By submitting User Content to the Platform, you grant Sledge a non-exclusive, royalty-free, worldwide, transferable, sublicensable licence to use, reproduce, modify, display, distribute, and create derivative works of your User Content in connection with operating, promoting, and improving the Platform. This licence survives termination of your account to the extent necessary for Sledge to continue operating the Platform (e.g., cached content, aggregated data, historical records).

11.3 Content Standards

You agree that your User Content will not:

  • Be false, misleading, or deceptive.
  • Infringe upon the intellectual property, privacy, or other rights of any third party.
  • Contain unlawful, defamatory, obscene, or harmful material.
  • Contain spam, malware, or unsolicited advertising.

11.4 Content Removal

Sledge reserves the right to remove or modify any User Content that violates these Terms or that we reasonably deem inappropriate, without prior notice.

11.5 Reviews and Ratings

Reviews and ratings submitted by Participants reflect their personal opinions and experiences. Sledge does not verify or endorse reviews. Hosts may not incentivise, coerce, or retaliate against Participants for reviews.


12. Intellectual Property

All content on the Platform not constituting User Content, including but not limited to text, graphics, logos, trademarks, images, software, and design, is the property of Sledge Experiences Pte. Ltd. and is protected under applicable intellectual property laws. No part of the Platform may be used, copied, or redistributed without prior written permission.


13. Acceptable Use

By using the Platform, you agree not to:

  • Violate any applicable laws or regulations.
  • Infringe upon the rights or privacy of others.
  • Attempt to gain unauthorised access to any portion of the Platform or its systems.
  • Disrupt or interfere with the performance or security of the Platform.
  • Engage in conduct that may harm Sledge or its Users.
  • Create multiple accounts to circumvent suspension, termination, or ranking rules.
  • Manipulate the ranking system, reviews, or Rewards Pool through fraudulent activity.
  • Use automated scripts, bots, or scraping tools to interact with the Platform without authorisation.

14. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal data. By using the Platform, you consent to the practices described in the Privacy Policy.


15. Availability and Modifications

The Platform is provided "as is" without guarantees regarding uptime, accuracy, or uninterrupted access. Features, pricing, and services may be changed, updated, or removed at any time. Where changes materially affect your rights or obligations, we will provide reasonable notice.


16. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Sledge is not liable for any indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to loss of data, revenue, or business opportunity.
  • Sledge's total aggregate liability to you for any claims arising from or related to the Platform shall not exceed the greater of (a) the total Platform Fees you have paid to Sledge in the 12 months preceding the claim, or (b) S$500.
  • Sledge is not liable for the acts, omissions, conduct, or quality of any Host, Participant, or Session.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Singapore law.


17. Indemnification

You agree to indemnify and hold harmless Sledge Experiences Pte. Ltd., its directors, officers, employees, and affiliates from any third-party claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms.
  • Your User Content.
  • Your hosting of or participation in any Session.
  • Any dispute between you and another User.

18. Dispute Resolution

18.1 Between Users

Disputes between Hosts and Participants should first be raised through the Platform's dispute resolution process (see Section 10.5). Sledge will attempt to mediate in good faith but is not obligated to resolve disputes between Users.

18.2 Between You and Sledge

Any dispute arising from these Terms or your use of the Platform that cannot be resolved informally shall be referred to mediation under the Singapore Mediation Centre's rules. If mediation is unsuccessful within 30 days, the dispute shall be resolved by the courts of Singapore.


19. Force Majeure

Sledge shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, power outages, or failures of third-party services (including payment processors).


20. Insurance Disclaimer

Sledge does not provide or require insurance for Sessions. Hosts are solely responsible for obtaining any insurance they deem necessary for their Sessions, including but not limited to public liability insurance, professional indemnity insurance, or event insurance. Participants attend Sessions at their own risk.


21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.


22. Updates to These Terms

These Terms may be updated from time to time. Material changes will be communicated to Users via the Platform (e.g., in-app notification, email) with at least 14 days' notice before taking effect. Continued use of the Platform after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Platform.


23. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.
